Terms of Service
Please read these terms carefully before using QStore IMS or any ITEMORA service. By creating an account or activating a licence, you agree to be bound by these terms.

1. Parties
These Terms of Service (“Terms”) are a legal agreement between ITEMORA Pty Ltd(“ITEMORA”, “we”, “us”, or “our”) and you, the individual or organisation (“you” or “Customer”) accessing or using QStore IMS or the ITEMORA platform. If you are accepting these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.
2. The service
ITEMORA provides QStore IMS — an offline-capable inventory and operational management software application — and the supporting Platform Core infrastructure for account management, licence validation, and subscription billing.
We reserve the right to modify, update, or discontinue features of the service with reasonable notice. We will endeavour to provide at least 30 days' notice of any material changes that affect paid subscribers.
3. Accounts and eligibility
- You must be at least 18 years of age to create an account.
- You are responsible for maintaining the security of your account credentials.
- You must provide accurate and complete information when registering.
- One account may manage multiple licences but may not be shared between unrelated organisations.
- You are responsible for all activity that occurs under your account.
4. Licence grant
Upon payment of the applicable subscription fee, ITEMORA grants you a non-exclusive, non-transferable, revocable licence to install and use QStore IMS for your organisation's internal operational purposes, subject to these Terms and the plan limits associated with your subscription.
Lifetime licences grant perpetual access to the version of the software current at the time of purchase, plus all updates released within 24 months of the purchase date.
This licence does not include the right to sublicence, resell, reverse engineer, decompile, or redistribute the software.
5. Subscription and billing
Billing cycle
Subscriptions are billed in advance on an annual basis unless otherwise specified. Your subscription renews automatically unless cancelled before the renewal date.
Payment processing
All payments are processed by Stripe, Inc. By providing payment details, you authorise ITEMORA to charge your nominated payment method for recurring subscription fees.
Price changes
We will provide at least 30 days' notice of any price increases. Continued use of the service after the notice period constitutes acceptance of the new pricing.
Failed payments
If a payment fails, we will notify you by email. Access may be suspended after a 7-day grace period if payment is not resolved.
Taxes
Prices are in Australian Dollars (AUD) and are exclusive of GST unless stated otherwise. GST will be applied where required by Australian tax law.
6. Refund policy
We offer a 30-day free trial so you can evaluate QStore IMS before committing to a paid plan. We encourage you to use this period fully.
After the trial and first payment:
- Annual subscriptions: a pro-rata refund may be provided within 14 days of the billing date if you are not satisfied and have not heavily used the service during that period. Requests after 14 days are considered on a case-by-case basis.
- Lifetime licences: no refunds after 14 days of purchase.
- Refund requests must be submitted to hello@itemora.com with your account email and reason.
7. Acceptable use
You agree not to use QStore IMS or the ITEMORA platform to:
- Violate any applicable law or regulation
- Infringe the intellectual property rights of any party
- Attempt to gain unauthorised access to our systems or other users' accounts
- Distribute malware or engage in any form of automated abuse
- Resell or sublicence the software without written authorisation from ITEMORA
- Use the platform to manage inventory for activities that are unlawful in Australia
8. Intellectual property
QStore IMS, the ITEMORA platform, all associated software, branding, documentation, and content are owned by ITEMORA Pty Ltd and are protected by Australian and international intellectual property laws.
Your data — inventory records, personnel data, and operational records created within QStore IMS — remains your property at all times. ITEMORA claims no ownership over your data.
9. Disclaimer of warranties
QStore IMS is provided “as is” and “as available”. To the extent permitted by Australian law, ITEMORA makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that all defects will be corrected.
10. Limitation of liability
To the maximum extent permitted by law, ITEMORA's total liability to you for any claim arising from or related to these Terms or the service shall not exceed the greater of (a) the total fees paid by you in the 12 months preceding the claim, or (b) AUD $100.
ITEMORA is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of revenue, or loss of operational continuity, even if advised of the possibility of such damages. Nothing in these Terms limits liability that cannot be excluded under Australian consumer law.
11. Termination
You may cancel your subscription at any time through the customer portal. Cancellation takes effect at the end of the current billing period.
ITEMORA may suspend or terminate your account immediately if you breach these Terms, fail to pay fees, or engage in activity that poses a risk to our platform or other users. We will endeavour to provide notice unless circumstances prevent it.
Upon termination, your licence to use the software ceases. You remain responsible for any outstanding fees.
12. Governing law
These Terms are governed by the laws of Australia. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Australia. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated to active subscribers via email with at least 14 days' notice. Continued use of the service after the effective date of changes constitutes acceptance of the updated Terms.
